SERVICE LEVEL AGREEMENT (SLA)
Artius Management Services: Professional Full-Service Management Tier
Between:
Artius (hereinafter “Consultant”)
and
____________________________________________________ (hereinafter “Client”)
1. Scope of Engagement
This Agreement governs the provision of management and business development services provided by Artius to the Client under the Professional Full-Service Management tier.
2. Artius Responsibilities & Deliverables
Artius serves as the Client’s outsourced capture and compliance division. Obligations include:
- Opportunity Pipeline: Artius shall identify and curate five (5) high-probability government contracting opportunities per week. This pipeline shall consist of a strategic mix of federal and state-level solicitations across all 53 U.S. states and territories, selected based on the Client’s validated core capabilities and NAICS codes.
- Proposal Lifecycle Management: Artius will oversee the proposal submission lifecycle for all opportunities the Client chooses to pursue, including formatting, compliance review, and submission.
- Strategic Teaming & Distribution: Artius will provide strategic guidance to assist the Client in identifying and establishing distribution and teaming relationships (e.g., prime/subcontractor partnerships) necessary to successfully pursue and execute target opportunities.
- Compliance Maintenance: Artius will pursue and oversee the maintenance of all existing federal and state registrations (e.g., SAM.gov, CAGE), provided the Client supplies the necessary documentation in a timely manner.
- Strategic Bid Oversight: Artius shall provide comprehensive oversight of the bid process for pursued opportunities, including technical review, compliance validation, and strategic narrative refinement to maximize win probability.
- Strategy Sessions: Includes two (2) sixty-minute weekly strategy calls with executive reporting. Unused time does not roll over to the following strategy call.
3. Compensation & Performance-Based “Winning Fee”
- Base Management Fee: $5,000 monthly.
- Winning Fee: In addition to the base management fee, a “Winning Fee” shall be applicable to any contract awarded to the Client through an opportunity pursued under the guidance of Artius. The percentage or flat rate of this fee shall be negotiated and memorialized in a separate written addendum prior to the pursuit of each specific contract.
4. “The Hard Line”: Exclusions & Out-of-Scope Protection
To maintain service standards, the following are explicitly excluded from the Professional Tier:
- Technical Writing/Drafting: Artius provides structural, compliance, and strategic review; Artius is not a technical writing firm and is not responsible for drafting the core technical narrative of the Client’s service or product offerings.
- Additional Bid Volume: Bid submissions exceeding the opportunities identified by Artius for the Client, or “last-minute” requests (submitted by the Client with less than 72 hours remaining before the submission deadline), are excluded and will be treated as custom Add-On services.
- Business Operations: Artius is not responsible for the Client’s internal business operations, payroll, HR, or non-procurement-related legal matters.
- On-Call/Emergency Availability: Professional tier management does not include “on-demand” advisory. Support inquiries will be addressed within 48 business hours.
- Third-Party Integration: Managing the Client’s external accounts (e.g., private CRM tools, proprietary software) is not included unless explicitly contracted as a custom Add-On.
5. Liability & Limitations
- No Award Guarantees: Artius does not guarantee, warrant, or promise the award of any specific government contract. Final award decisions rest solely with the Contracting Officer.
- Information Accuracy: Artius is not responsible for errors or disqualifications arising from inaccurate, incomplete, or fraudulent data provided by the Client.
- Change of Scope Protocol: Any request falling outside these deliverables will be designated as an “Out of Scope Request.” Artius will notify the Client in writing of the additional cost. Work will not commence on Out of Scope items until the Client provides written approval of the additional fee.
6. Client Cooperation Clause
The efficacy of Artius’s services is contingent upon the Client’s prompt cooperation. Failure to provide requested documentation or feedback within the timeframe established by the account manager may result in delays or an inability to meet proposal deadlines.
7. General Provisions
- Payment Terms: Invoices are collected through either Klarna or Affirm. Services may be suspended or terminated if payment is not received within 10 days of the due date.
- Intellectual Property (IP): All strategic methodologies, proprietary templates, and internal processes developed by Artius remain the exclusive intellectual property of Artius. Upon full payment of fees, the Client is granted a non-exclusive license to use the final work product (bid submissions/compliance docs) for their business purposes.
- Confidentiality & Data Security: Artius agrees to maintain the confidentiality of all Client proprietary information. However, the Client remains responsible for the security of their own federal access credentials (e.g., SAM.gov login, DSBS password). Artius is not liable for data breaches occurring through the Client’s systems.
- Force Majeure / System Downtime: Artius is not liable for failures, delays, or outages caused by federal government portals, third-party hosting, or external agencies. If a federal system outage prevents a timely submission, the Client agrees that Artius has performed its duties in good faith.
- Conflict of Interest: The Client acknowledges that Artius serves multiple clients in the government contracting space. In the event of a direct conflict of interest (e.g., two clients pursuing the same solicitation), Artius will disclose the conflict to both parties and may recuse itself from providing strategic advice on that specific opportunity to avoid unfair advantage.
